Terms of Service

1. Agreement to Terms

By accessing or using Avial, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, you must not use the service.

These Terms constitute a legally binding agreement between you (the "User") and Avial AS (org. nr. 834 230 682), referred to as "we", "us", or "Avial".


2. Description of Service

Avial is a cloud-based software solution designed for businesses in the HVAC and heat pump industry, providing:

  • CRM (Customer Relationship Management)
  • Sales tracking
  • Service management
  • Customer follow-up

3. Eligibility

This service is intended for business users only. By creating an account, you confirm that:

  • You are acting on behalf of a legally registered business
  • You have the authority to bind that business to these Terms
  • You are at least 18 years of age

4. User Accounts and Authentication

Users sign in using Google Authentication (OAuth 2.0).

You are responsible for:

  • Maintaining the security of your account
  • All activities that occur under your account
  • Notifying us immediately at support@avial.no if you suspect unauthorised access

We are not liable for any loss resulting from unauthorised use of your account where you have failed to keep your credentials secure.


5. Subscription and Billing

5.1 Subscription Plans

Avial is offered as a paid subscription service on monthly or annual billing cycles. Pricing details are available on our website or upon request.

5.2 Auto-Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You authorise us to charge your payment method on each renewal date.

5.3 Cancellation

You may cancel your subscription at any time. Upon cancellation:

  • You retain full access to the service until the end of the current billing period
  • No further charges will be made after the current period ends

5.4 Refund Policy

All payments are non-refundable. We do not offer pro-rata refunds for unused time within a billing period. This does not affect any statutory rights you may have under applicable law.

5.5 Price Changes

We reserve the right to change subscription prices. We will provide at least 30 days' written notice before any price change takes effect. Continued use of the service after the notice period constitutes acceptance of the new pricing.


6. User Responsibilities

By using Avial, you agree to:

  • Use the service in compliance with all applicable laws and regulations
  • Not misuse or attempt to circumvent authentication or security systems
  • Not use the service to store or process unlawful content
  • Ensure that all users within your organisation are aware of and comply with these Terms
  • Maintain accurate account and billing information

7. Responsibility for Customer Data

As a business user, you are solely responsible for:

  • All customer data entered into the system
  • Ensuring your collection and use of customer data complies with GDPR and other applicable data protection laws
  • Establishing a valid legal basis for processing personal data
  • Handling data subject requests (access, deletion, portability, etc.) from your own customers
  • Obtaining necessary consents where required

Avial acts as a Data Processor and processes customer data only on your behalf and according to your instructions.


8. Data Processing Agreement (DPA)

By using the service, you acknowledge and agree that:

  • A Data Processing Agreement (DPA) is in effect between you and Avial AS, as required by GDPR Art. 28
  • We process personal data only according to your instructions
  • We implement appropriate technical and organisational security measures

A formal written DPA is available upon request at support@avial.no.


9. Data Retention After Termination

Upon termination or cancellation of your account:

  • Your data will be retained for 90 days after the termination date
  • During this period, you may export all your customer data in CSV or Excel format from within the application
  • After 90 days, all data will be permanently and irreversibly deleted from our systems
  • We strongly recommend exporting your data before the 90-day window expires

We are not responsible for data loss resulting from failure to export data within the retention period.


10. Availability and Service Levels

We strive to provide a reliable and high-quality service, but we do not guarantee:

  • Uninterrupted or continuous availability
  • Error-free operation at all times

We will make reasonable efforts to provide advance notice of planned maintenance or downtime where possible.


11. Intellectual Property

All rights to the Avial application, including its design, code, branding, and content, remain the exclusive property of Avial AS.

Users retain full ownership of their own data entered into the system. Avial claims no intellectual property rights over your customer data.

You may not copy, modify, reverse-engineer, or redistribute any part of the application without our prior written consent.


12. Termination by Us

We reserve the right to suspend or terminate your access to the service, with or without notice, if:

  • You materially breach these Terms of Service
  • You misuse the service or engage in unlawful activity
  • Payment obligations are not met
  • We are required to do so by law

Upon termination by us due to a breach, the data retention and export provisions in Section 9 still apply.


13. Limitation of Liability

To the maximum extent permitted by applicable law, Avial AS shall not be liable for:

  • Indirect, incidental, or consequential damages
  • Loss of profits or business opportunities
  • Loss of data caused by user actions or failure to export within the retention period
  • Service interruptions or downtime

Our total aggregate liability to you for any claim shall not exceed the amount paid by you to Avial in the three (3) months preceding the event giving rise to the claim.

Nothing in these Terms limits liability for fraud, gross negligence, or any liability that cannot be excluded under Norwegian law.


14. Governing Law and Disputes

These Terms of Service are governed by the laws of Norway.

Any disputes arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts of Norway. We encourage you to contact us first at support@avial.no to resolve any dispute informally before initiating legal proceedings.


15. Changes to These Terms

We may update these Terms of Service from time to time. When we make material changes, we will notify you via the application or by email at least 14 days before the changes take effect.

Continued use of the service after the effective date constitutes acceptance of the updated Terms.
